Terms of Service
These Terms of Service ("Terms") form a legally binding agreement between you ("you," "your," or "Subscriber") and Cordia ("we," "us," or "our") governing your access to and use of the Cordia platform, management portal, and all related services (collectively, the "Service"). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old to enter into this agreement and use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or any organization you represent. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
Cordia provides AI-powered community and business management tools, including culture-aware moderation, infrastructure bridging (such as RCON for game servers), business automation, and integrations with third-party platforms. The Service is available in two delivery models:
- Free Local Download: You may download and self-host Cordia on your own hardware at no charge. You are solely responsible for the operation, uptime, security, and maintenance of a self-hosted installation. Certain features requiring Cordia's hosted infrastructure are not available in the free local model.
- VPS Subscription: Cordia hosts and manages your instance on our infrastructure. Subscription tiers determine which features and resource allocations are available to you. The hosted Service requires an active paid subscription.
3. Subscriptions and Payment
VPS subscriptions are billed on a recurring monthly or annual basis. By subscribing, you authorize us to charge your payment method at the applicable rate for your selected tier. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
- Billing: Fees are charged in advance at the start of each billing period. Failure to pay may result in suspension or termination of your subscription.
- Tier Changes: You may upgrade or downgrade your tier at any time. Upgrades take effect immediately. Downgrades take effect at the start of the next billing period.
- Cancellation: You may cancel your subscription at any time via the management portal or by contacting support. Upon cancellation, your subscription remains active until the end of the current billing period. No partial refunds are issued for unused time.
- Price Changes: We reserve the right to modify pricing at any time. We will provide at least 30 days' notice of any price increase before it affects your subscription.
- Taxes: You are responsible for all applicable taxes. Quoted prices do not include taxes unless stated otherwise.
4. Bring Your Own API Key (BYOAK)
Cordia supports the use of your own third-party AI provider API keys ("BYOAK"). If you provide an API key from a third-party provider (such as OpenAI, Groq, or Together.ai), you represent that you have the right to use that key in accordance with the applicable provider's terms of service. You are solely responsible for all usage, fees, and compliance obligations associated with your API key. Cordia stores your API key in an encrypted database solely for the purpose of routing AI requests on your behalf and does not use your key for any other purpose.
5. Infrastructure Bridging and External Integrations
The Service allows you to connect Cordia to external systems, including but not limited to game servers (via RCON), Google Workspace accounts, social media platforms, and e-commerce platforms. By connecting any external system:
- You represent that you have the legal right and authority to manage, access, and authorize automated actions on the connected infrastructure.
- You are responsible for the security and validity of all credentials you provide. Cordia stores credentials in an encrypted database but assumes no liability for unauthorized access resulting from your own security practices.
- You acknowledge that AI-driven actions executed through these integrations (such as in-game moderation commands or email replies) are performed based on your configuration and at your direction.
- You agree to use integrations only in compliance with the terms of service of the connected platforms.
- AI Processing of File Content: When Cordia's AI reads or processes content from your connected files, accounts, or storage to assist you, that content is transmitted to the AI provider configured for your instance. If you are using your own API key (BYOAK), your content is transmitted directly to your own AI provider account and is governed solely by your agreement with that provider — Cordia has no control over and assumes no liability for how that provider handles your content. You are solely responsible for ensuring your use of third-party AI providers complies with any applicable confidentiality, privilege, or regulatory obligations. If you are using Cordia's default AI infrastructure (non-BYOAK), you agree not to connect or process files or content subject to HIPAA, attorney-client privilege, financial regulatory requirements, or any other legally protected confidentiality obligation.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation.
- Harass, abuse, threaten, or harm any individual or group.
- Conduct unauthorized access to, or interference with, any computer systems or networks.
- Distribute malware, spam, or unsolicited communications through connected integrations.
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service.
- Resell, sublicense, or provide access to the Service to third parties without our express written permission.
- Use the Service in any way that could damage, disable, overburden, or impair our infrastructure.
- Circumvent any access controls, region restrictions, or security features of the Service.
We reserve the right to suspend or terminate your access immediately if we determine, in our sole discretion, that you have violated this section.
7. Human-in-the-Loop Requirement
Cordia is designed as a human-in-the-loop system. Certain high-impact actions (such as permanent bans or server lockdowns) require explicit human confirmation before execution. You acknowledge that you and your authorized staff are responsible for reviewing and approving AI-recommended actions and that final accountability for any moderation decision rests with you.
8. Intellectual Property
The Cordia platform, software, branding, and all related technology are the exclusive property of Cordia and its licensors. Nothing in these Terms transfers any intellectual property rights to you. You retain full ownership of all content, data, and configurations you provide to the Service. You grant Cordia a limited, non-exclusive license to process your data solely as necessary to deliver the Service.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. CORDIA IS AN ASSISTIVE TOOL — IT IS NOT A SUBSTITUTE FOR HUMAN JUDGMENT, LEGAL COUNSEL, OR PROFESSIONAL MODERATION STAFF.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CORDIA AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL CORDIA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO CORDIA IN THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
11. Indemnification
You agree to defend, indemnify, and hold harmless Cordia and its officers, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of a third party; or (d) any content or data you submit to or process through the Service.
12. Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, for conduct that we determine violates these Terms, is harmful to other users, to us, or to third parties, or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. Sections 8 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 14 (Governing Law and Dispute Resolution), and 16 (General Provisions) survive termination of these Terms.
13. Beta Services
Cordia is currently in Private Beta. Beta access is provided free of charge on a limited, invitation-only basis for evaluation purposes. Beta services may be modified, limited, or discontinued at any time without notice. We do not guarantee uptime, data retention, or feature availability during the beta phase. Free beta access does not create any obligation on our part to continue providing services at no cost, and pricing may be introduced at the conclusion of the beta period with advance notice.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles. The Service is intended for use by residents of the United States only. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding individual arbitration conducted in English under the rules of the American Arbitration Association, with arbitration taking place in Ohio or remotely by mutual agreement. Notwithstanding the foregoing, either party may bring an individual claim in small claims court if the claim qualifies. You waive any right to participate in a class action lawsuit or class-wide arbitration against Cordia.
15. Changes to These Terms
We may update these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where feasible, notify active subscribers via email or the management portal. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
16. General Provisions
- Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cordia regarding the Service and supersede all prior or contemporaneous agreements, understandings, negotiations, or representations, whether written or oral, relating to the subject matter herein.
- Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. A waiver of any provision is effective only if made in writing and signed by an authorized representative of Cordia.
- Assignment: You may not assign, transfer, or sublicense these Terms or any of your rights or obligations under them without our prior written consent. Any attempted assignment without consent is void. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
- Force Majeure: Cordia will not be liable for any failure or delay in performance of its obligations resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, power or internet outages, third-party service failures (including Discord, Hetzner, Stripe, or AI providers), or government actions.
